Referral Program Terms and Conditions

To participate in the Program, Referrers should visit our Program webpage at acqu.co/tesla and follow the on-screen instructions to refer Amazon third-party sellers (each, a “Referee”). We will reach out to your Referee directly by email (with you copied) and an Eligible Referrer (as defined below) may receive a Reward (as defined below) for every Qualified Referral (as defined below) that results in an acquisition based on the terms and conditions contained herein.

An “Eligible Referrer” means a Referrer who:

We reserve the right to disqualify any Referrer at any time from participation in the Program or earning a Reward. A Referrer may not be an employee, independent contractor, director, legal representative or partner of Vantage or any of Vantage’s affiliates. A Referrer may not participate in this Program or receive a Reward or any other compensation under this Program if Referrer is, directly or indirectly (including, without limitation, through its employer, its affiliates or through a third party), party to any other referral agreement or referral program with Vantage or any of Vantage’s affiliates.

A “Qualified Referral” means a Referee who:

Referrers must respect the spirit of the Program by only referring real Amazon third-party sellers who meet the requirements of these Referral Terms. Referrers cannot refer themselves or their affiliates (including, without limitation, if they own a Amazon third-party seller business that has not already been acquired by us). Referrers must personally know a Referee in order for the referral to constitute a Qualified Referral.

An Eligible Referrer shall receive a Tesla Model Y (Long Range) (the “Reward”) for each Qualified Referral that is acquired by us. The Total Approximate Retail Value (“ARV”) of the Reward is $49,990. The depiction of the Reward in any advertising or promotional materials may not reflect the actual vehicle to be delivered to the Eligible Referrer.

The Reward shall be provided to an Eligible Referrer within 30 days of the first release of escrow funds related to the acquisition of the business of the Qualified Referral by Vantage or its affiliates and receipt of the proceeds of the acquisition by the Referee (such date, the “Escrow Release Date”); provided that neither Vantage nor its affiliates shall be responsible for any delays due to actions or inactions of an Eligible Referrer or Tesla, Inc. (“Tesla”). We reserve the right to determine whether to acquire a Qualified Referral in our sole discretion.

To claim a Reward, an Eligible Referrer will be required to sign an Affidavit of Eligibility and Release within 15 days of receipt of such affidavit. Any Reward that is not claimed within three months of the Escrow Release Date shall be subject to forfeiture. No Reward will be granted for any referral made prior to the date hereof.

We request that an Eligible Referrer work directly with Tesla to fulfill the reward. The Eligible Referrer will be able to make its own account with Tesla, choose the features of the vehicle and coordinate transfer of ownership and delivery from the automobile dealership as determined by the Eligible Referrer and Tesla. Vantage shall not be responsible for any delays in delivery of the Reward and Vantage will have no liability as to any communications or dealings between the Eligible Referrer and Tesla.

The Eligible Referrer must provide proof of insurance, proof of registration, a valid U.S. driver's license and any other items requested by Tesla in order to receive the Reward. Upon satisfaction of the terms and conditions contained herein, Vantage shall provide payment for the Reward directly to Tesla in a maximum amount up to the lesser of (i) the ARV and (ii) the retail value of the Reward (before all fees, taxes, costs and other expenses). The Eligible Referrer will be responsible any and all local, state and/or federal taxes, as well as all registration, title, license and dealer fees, shipping and handling charges, insurance and any other costs and expenses associated with the acceptance of the Reward. No representations as to originality, mileage or compliance with safety or emissions laws or regulations are made and Vantage and its affiliates and agents reserve all discretion with respect to any option or feature not expressly stated in these rules. Eligible Referrers agree to accept the Reward on an “as is” basis, without any warranty of any kind. The Reward is not transferrable or assignable.

The Reward may be subject to availability restrictions in certain jurisdictions based on licensing, import or other distribution restrictions. In such a case, the Eligible Referrer may be required to take the Cash Option (as defined below) instead.

The Eligible Referrer may, with Vantage’s consent, choose to receive the ARV in cash in lieu of the Reward (the “Cash Option”). If the Eligible Referrer elects to take the Cash Option, the Eligible Referrer will forfeit the Reward, but will still receive the ARV in cash.

We will be collecting personal data about Referees online, in accordance with our privacy policy, which can be found here. By participating in the Program, a Referrer (i) represents that it has each Referee’s prior consent to provide its contact information and the usage of their personal information, (ii) acknowledges that it has read and accepted our Privacy Policy and (iii) consents to be contacted by email by us.

Referrers agree not to use the Program to (i) violate applicable law, our Privacy Policy or our Terms of Use; (ii) infringe on the intellectual property rights of Vantage or any third parties; (iii) stalk, harass or harm another individual; (iv) collect or store personal data about other Referrers; (v) impersonate any person or otherwise misrepresent such Referrer’s identity; (vi) interfere with, disrupt or violate the Referral Terms or servers or networks connected to the Program, or disobey any requirements, procedures, policies or regulations of such networks; (vii) interfere with another Referrer’s use of the Program; (viii) attempt to gain unauthorized access to the Program, other accounts, computer systems or networks connected to the Program; (ix) transmit any file that contains viruses, worms, trojan horses or any other contaminating or destructive features; (x) conduct any illegal activity or solicit the performance of any illegal activity or other activity that infringes on the rights of others; and (xi) resell, barter, trade, auction or otherwise generate income by providing access to the Program to others.

You must comply with all applicable laws and regulations in soliciting referrals. Referrers may not purchase internet search terms or publicly advertise our name in any fashion. Use of any affiliate website, affiliate network properties, automated systems, script, or macro to participate is strictly prohibited and will result in disqualification.

Further, any distribution of referral codes or program links that could constitute unsolicited commercial email or “spam,” any content which impersonates or implies an affiliation with or endorsement by Vantage or any of its subsidiaries or affiliates, or any actions which otherwise violate any terms or conditions imposed by Vantage, are prohibited and will be grounds for immediate termination from the Program.

We will not honor a Reward (or the Cash Option) for referrals which are generated using any of the foregoing means.

Each Eligible Referrer is responsible for any and all local, state and/or federal taxes. Each Eligible Referrer that receives a Reward (or the Cash Option) valued at $600 or more will receive an Internal Revenue Service Form 1099-MISC for the actual value of the Reward (or the Cash Option) from either us or a third party on our behalf at the end of the calendar year in which the Reward (or the Cash Option) was awarded, and a copy of such form will be filed with the IRS.

If any provision in these Referral Terms are held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions.

We may suspend or terminate the Program or a Referrer’s ability to participate in it at any time for any reason. We reserve the right to review and investigate all referral activities and to suspend accounts or modify referrals in our sole discretion as deemed fair and appropriate.

No part of the Program is directed to persons under the age of 18. IF YOU ARE UNDER 18 YEARS OF AGE, YOU MAY NOT USE, ACCESS OR PARTICIPATE IN THE PROGRAM AT ANY TIME OR IN ANY MANNER.

Any and all disputes, claims and causes of action arising out of or related to the Program or any Reward (or the Cash Option) awarded shall be resolved under New York law (without reference to its conflicts of laws principles), and participants in the Program agree to submit any dispute to the exclusive jurisdiction of the state and federal courts located in the Southern District of New York. REFERRER EXPRESSSLY WAIVES ANY RIGHT TO A JURY TRIAL.

All details and other restrictions of the Reward (or the Cash Option) or of the Program not specified in these Referral Terms will be determined by us in our sole discretion. No substitution will be allowed (excluding the Cash Option), except we reserve the right in our sole discretion to substitute rewards of comparable value if the Reward is unavailable, in whole or in part, for any reason.

Each Eligible Referrer agrees (for himself or herself and his or her heirs) that, by participating in the Program and/or accepting the Reward (or the Cash Option), we, along with each of our respective affiliates and agents (collectively, the “Released Parties”), will have no liability, and will be indemnified and held harmless by such Eligible Referrer for any liability, loss, injury or damage to property or person, including death, and reasonable attorney’s fees and court costs, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the Reward (or the Cash Option) or participation in the Program, even if caused or contributed to by the negligence of any of the Released Parties.
